On the 1st of January 2018 the changes in the Act on Non-Profit Legal Entities came into effect.

Purpose

The changes are aimed at ensuring transparency and accountability of the Non-Profit Legal Entities and reducing the administrative burden.

The major change

Until the end of 2017 non-profit legal entities were required to be registered in the District Court. Registration ended up in a court registered, archaically kept on paper files.

The changes modernised the incorporation proceeding by introducing the online registration of Non-Profit Organizations.

The legislative changes require all non-profit legal entities to “migrate” from the paper court register into the new Register of the Non-Profit Legal Entities, kept by the Bulgarian Registry Agency in the same online platform as the Commercial Register.

The 9-digit BULSTAT code which is used for identification remains unchanged. However from now in it is called “unified identification code” (ЕИК).

To whom it relates?

The changes affect all nonprofit organizations, including:

  • Associations;
  • Foundations;
  • Sports clubs;
  • Community centres;
  • School boards;
  • Branches of foreign non-profit legal entities.

 

How to request re-registration into the new electronic register?

Migration from the old register into the new one does not happen automatically. An explicit re-registration application shall be filed. The application may be signed either by the representative of the non-profit legal entity or by a lawyer who has an explicit power of attorney. It may be filed either on paper or electronically. When filed electronically the application must be signed with a valid electronic signature.

Charge

The procedure is free of charge. However, in case of new entry of change of any of the circumstances concerning the organization, a state fee of BGN 30 (when applying on the spot) and of BGN 15 (when applying electronically) is due.

Deadlines

The deadline is the 31st of December 2020.
